Terms of Service

Welcome to LogisAI. These Terms of Service ("Terms") govern your access to and use of LogisAI's logistics platform, APIs, documentation, and related services (collectively, the "Services") provided by LogisAI ("we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Definitions

"Account" means a company account created to access LogisAI's Services. "Customer Data" means any data, including orders, delivery records, fleet information, and route configurations, that you submit to the Services. "Subscription" means your active plan and billing relationship with LogisAI, as defined in your order form or pricing tier selection.

2. Account Registration

To use the Services, you must create an Account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, including API keys. You must notify us immediately of any unauthorized use of your Account.

You agree not to share account credentials across organizations or create multiple accounts to circumvent usage limits or pricing tiers.

3. Use of Services

Subject to these Terms, LogisAI grants you a non-exclusive, non-transferable, revocable right to access and use the Services during your Subscription period. You agree to use the Services only for lawful purposes and in accordance with our documentation.

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to build a competing logistics optimization product
  • Circumvent usage limits, rate limits, or access controls
  • Submit fraudulent, malicious, or intentionally corrupt data
  • Resell access to the Services without written authorization
  • Use the Services in a manner that violates applicable laws or regulations

4. Customer Data

You retain all rights to your Customer Data. You grant LogisAI a limited license to process, store, and transmit your Customer Data solely to provide the Services. LogisAI will not access your Customer Data except as necessary to operate the Services, provide support, or comply with legal obligations.

You are responsible for the accuracy and legality of your Customer Data, including ensuring you have the right to submit delivery addresses, customer information, and fleet data to the Services.

5. Pricing and Payment

Fees for the Services are based on your selected pricing tier and usage, as described on our pricing page or in your order form. All fees are quoted in US Dollars unless otherwise specified.

LogisAI reserves the right to modify pricing with 30 days' written notice. Continued use of the Services after a pricing change constitutes acceptance of the new pricing. Overdue payments may result in suspension of Services.

6. Service Level Agreement

LogisAI targets 99.9% uptime for production Services, measured monthly. If LogisAI fails to meet this target, you may be eligible for service credits. Scheduled maintenance windows, force majeure events, and issues caused by your systems are excluded from uptime calculations.

7. Security

LogisAI implements industry-standard security measures, including encryption in transit (TLS 1.2+) and at rest, access controls, audit logging, and regular security assessments.

In the event of a security breach affecting your Customer Data, LogisAI will notify you within 72 hours and provide reasonable assistance in investigating and mitigating the breach.

8. Intellectual Property

LogisAI retains all rights, title, and interest in the Services, including all software, APIs, documentation, AI models, and underlying technology. These Terms do not grant you any rights to LogisAI's trademarks, logos, or brand assets.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGISAI'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LOGISAI BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.

10. Termination

Either party may terminate these Terms with 30 days' written notice. LogisAI may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or use the Services in a manner that threatens the security or integrity of the platform.

Upon termination, you may request an export of your Customer Data within 30 days. After this period, LogisAI may delete your data in accordance with our data retention policies.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts located in the Province of Ontario.
